Terms of Use

These Terms of Use (the "Terms") govern your access to and use of the Opportunity Hub website, applications and services (together, the "Platform") operated by Opportunity Hub ("we", "us" or "our"). By creating an account, or by accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Who we are

Opportunity Hub is an online marketplace that connects clients ("Employers") who post jobs and tasks with independent professionals ("Freelancers") who offer their services. We provide the technology that lets users find one another, communicate, agree terms, and hold and release payment. We are not a party to the contract for work agreed between an Employer and a Freelancer, we are not an employer, employment agency or recruiter, and we do not supervise, direct or control the work performed.

2. Eligibility

To use the Platform you must be at least 18 years old and legally capable of entering into binding contracts. If you use the Platform on behalf of a company or other organisation, you represent that you are authorised to bind that organisation to these Terms, and "you" refers to that organisation.

3. Accounts and account security

  • You must register for an account and provide accurate, current and complete information, and keep it up to date.
  • You may hold an account as an Employer or as a Freelancer. The features available to you depend on your selected role.
  • You are responsible for all activity under your account and for keeping your login credentials confidential. Notify us immediately of any unauthorised use.
  • You may not sell, transfer or share your account, or create an account using false information or on behalf of someone else without authorisation.

4. Identity verification (KYC)

Certain features, including receiving payments and withdrawals, may require you to verify your identity. You agree to provide accurate identification and supporting documents on request. We may suspend or limit access to features until verification is completed, and we may refuse or revoke verification where information appears inaccurate, fraudulent or incomplete.

5. Jobs, tasks, offers and contracts

  • Employers are responsible for the accuracy and legality of the jobs, tasks and offers they post, including scope, budget, deadlines and requirements.
  • Freelancers are responsible for the proposals and bids they submit and for delivering work that meets the agreed scope.
  • When an Employer and a Freelancer agree terms (for example through an offer or contract on the Platform), a direct contract is formed between them. That contract is between those users only; Opportunity Hub is not a party to it.
  • You are responsible for evaluating the suitability, qualifications and reliability of any user you deal with. We do not guarantee the quality, safety, legality or outcome of any job, task or work delivered.

6. Payments, escrow and fees

  • Escrow. Payment for a contract is funded by the Employer and held in escrow. Funds are released to the Freelancer when the Employer approves the delivered work, or otherwise in accordance with these Terms and our dispute process.
  • Service fee. Opportunity Hub charges a platform service fee (currently 10%) which is deducted from the contract amount when payment is released. Applicable taxes, including VAT at the prevailing rate (currently 7.5%), may be added or deducted where required by law.
  • Wallet and withdrawals. Released funds are credited to your wallet on the Platform. You may withdraw available funds to a valid bank account you have added and verified, subject to any processing times and limits.
  • Payment processor. Payments and payouts are processed through our third-party payment provider (African Money). Your use of those services is subject to the provider's own terms, and we are not responsible for the acts or omissions of the payment provider.
  • Off-platform payments. To protect the escrow and dispute process, you agree to keep all payments for work arranged through the Platform on the Platform. Circumventing our fees or taking transactions off-platform is prohibited and may result in suspension.

7. Subscriptions and billing

We offer free and paid ("Pro") subscription plans, with features and usage limits that differ by plan and by role. Paid plans are billed in advance for the period you select and, unless otherwise stated, provide access for that period. Fees for subscriptions are, to the extent permitted by law, non-refundable once the period has started. We may change plan pricing or features on reasonable notice; changes will not affect a subscription period you have already paid for.

8. Disputes and refunds

If a dispute arises over work or a payment held in escrow, you should first try to resolve it directly with the other user. Where a dispute is raised through the Platform, we may (but are not obliged to) review the available information and decide, at our reasonable discretion, whether escrowed funds should be released to the Freelancer, refunded to the Employer, or split. Our decision on the release of escrowed funds is intended to be a practical resolution and does not determine the legal rights of the parties under their contract.

9. Acceptable use

You agree not to:

  • Post or transmit content that is false, misleading, defamatory, obscene, discriminatory, or that infringes the rights of others;
  • Use the Platform for any unlawful purpose, or to post jobs or tasks that are illegal, fraudulent, or involve prohibited goods or services;
  • Harass, threaten, or abuse other users, or discriminate against them;
  • Post fake reviews, manipulate ratings, or misrepresent your identity, skills or experience;
  • Upload viruses or malicious code, attempt to gain unauthorised access to the Platform, or interfere with its normal operation;
  • Scrape, harvest, or collect other users' data except as permitted by these Terms;
  • Solicit users to move transactions off-platform in order to avoid fees.

10. User content and intellectual property

You retain ownership of the content you submit to the Platform (such as profiles, listings, messages and files). You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display and use that content as reasonably necessary to operate and promote the Platform. You are responsible for ensuring you have the rights to the content you post. Ownership of work delivered under a contract is governed by the agreement between the Employer and Freelancer. All rights in the Platform itself, including its software, design, trademarks and logos, remain owned by Opportunity Hub or its licensors and may not be used without our permission.

11. Suspension and termination

You may close your account at any time. We may suspend, restrict or terminate your access to all or part of the Platform, with or without notice, if we reasonably believe you have breached these Terms, created risk or possible legal exposure for us or other users, or engaged in fraudulent or harmful conduct. Where funds are held in escrow or in your wallet at the time of suspension or termination, we will handle them in accordance with these Terms and applicable law. Sections that by their nature should survive termination (including fees due, intellectual property, disclaimers, liability and governing law) will continue to apply.

12. Third-party services and links

The Platform may integrate with or link to third-party services (for example payment, authentication, mapping or email providers). We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.

13. Disclaimers

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Platform will be uninterrupted, secure or error-free, or that any job, task, user or work will meet your expectations.

14. Limitation of liability

To the fullest extent permitted by law, Opportunity Hub will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business, arising out of or in connection with your use of the Platform or any dealings with other users. Our total aggregate liability to you for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of (a) the total service fees you paid to us in the three (3) months before the event giving rise to the claim, or (b) NGN 20,000. Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited.

15. Indemnity

You agree to indemnify and hold harmless Opportunity Hub and its officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or connected with your use of the Platform, your content, your contracts with other users, or your breach of these Terms or of any applicable law.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect and use personal data. We handle personal data in accordance with applicable Nigerian data protection law, including the Nigeria Data Protection Act. By using the Platform, you consent to the processing described in the Privacy Policy.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, for example by posting the updated Terms on the Platform and updating the "Last updated" date above. Your continued use of the Platform after the changes take effect constitutes acceptance of the revised Terms.

18. Governing law and disputes with us

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform will be subject to the exclusive jurisdiction of the courts of Nigeria. Before commencing formal proceedings, you agree to first contact us to seek a good-faith resolution.
